Mission Statement
The East Baton Rouge Community Development Entity LLC is organized and to be operated exclusively to carry out the exempt purposes of its members, the City of Baton Rouge/Parish of East Baton Rouge, Louisiana and the East Baton Rouge Redevelopment Authority, each a political subdivision and government unit of the State of Louisiana. Notwithstanding any other provision of the Articles of Organization of the Company or the Operating Agreement of the Company, the Company is organized and shall be operated exclusively for charitable purposes within the meaning of Sections 170(c)(2) and 501(c)(3) of the Internal Revenue Code of 1986, as currently in effect or as may hereafter be amended (the “Code”), including but without limitation thereon, provided at least 60% of its activities (e.g., loans and investments) are and will be targeted to low-income communities and low-income persons (as defined below):
- to serve the City of Baton Rouge/Parish of East Baton Rouge, Louisiana for the deployment of New Market Tax Credits focusing on real estate development projects that provide community services, provide additional goods and services, and/or support development of affordable housing and the elimination of blight;
- to promote the public health, safety, morals and welfare of Baton Rouge through its primary mission of serving, or providing investment capital for, “low-income communities” and “low-income persons” (as such terms are used by the Community Development Financial Institutions Fund in conjunction with Section 45D of the Code and related Treasury Regulations);
- engaging in any lawful activity for which limited liability companies may be formed under Louisiana Revised Statutes 12:1301 et seq. that is consistent with the Company’s charitable purposes;
- engaging in any other activity that is incidental to, connected with or in advancement of the foregoing purposes of Section 501(c)(3) of the Code, provided, the powers of the Company shall never be inconsistent with the purposes of the Company stated above or the Constitution of the United States or the State of Louisiana; and
- relieving the burdens of government.
